SUSAN ELLEN WOLF
Vice President, Corporate Governance, and Associate General Counsel
Schering-Plough Corporation

Susan Ellen Wolf is corporate secretary, associate general counsel and vice president-Governance of Schering-Plough Corporation.

Wolf and her team are responsible for providing legal counsel with respect to securities law, corporate governance (including the annual meeting of shareholders), director/executive compensation, corporate law, financings and employee compensation/benefits. The director-Strategic Affairs is a member of her office and has responsibility for the company's Social Issues Program.

Wolf joined Schering-Plough in 2002 as senior director, Corporate Law, and in 2003, was appointed staff vice president, Corporate Law. She was appointed Corporate Secretary in May 2004, named vice president-Corporate Governance in 2005 and became a member of the Operations Management Team in 2007. Prior to joining the company, Wolf held in-house positions at Contel Corporation (now part of Verizon), Baltimore Gas and Electric Company (now Constellation Energy Group), The Coca-Cola Company and Delta Airlines, Inc.

Wolf was recognized by the Securities and Exchange Commission (SEC) for her work in the plain English program. She has served as chair of the Society of Corporate Secretaries and Governance Professionals; chair of the Society's Securities Law Committee; and a member of the Board of the Council of Institutional Investors. She is vice chairman of the Securities, Commodities and Exchanges Subcommittee of the American Bar Association Section on Administrative Law and is on the advisory board of the SEC Historical Society. She is also a member of the International Corporate Governance Network.

Wolf earned a B.A. degree, with honors, in sociology from Emory University, Atlanta, Ga., and a J.D. degree from George Washington University, Washington, D.C. She is a member of the Maryland and Georgia bars.
